Invisyn — Advertiser Agreement
Daily Specials Board Advertising Program
ADVERTISER AGREEMENT
This Advertiser Agreement ("Agreement") is entered into between Invisyn, a division of Invisyn Solutions LLC ("Company," "we," "us," or "our"), and the business or individual purchasing advertising space ("Advertiser," "you," or "your") as identified through the order and submission process on our website.
By completing your purchase and submitting your advertising materials, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
1. SERVICE DESCRIPTION
1.1 Invisyn operates a local advertising program through its Daily Specials Board product — a professionally designed 24"x36" dry erase board placed in participating restaurant locations throughout the Kansas City metropolitan area.
1.2 Each board features a dry erase area at the top for the restaurant's daily specials, with a dedicated advertising showcase section below displaying up to six (6) local business advertisements.
1.3 By purchasing an ad placement, you are securing one (1) advertising spot on one (1) Daily Specials Board at a designated restaurant location, unless a multi-board package was purchased, in which case the number of boards and placements will correspond to the package selected.
1.4 Each Daily Specials Board will feature no more than six (6) advertiser placements to maintain clear visibility and prominence for participating businesses.
2. CATEGORY EXCLUSIVITY
2.1 The Company will make commercially reasonable efforts to avoid placing direct competitors from the same industry category on the same Daily Specials Board. However, the Company retains sole discretion in determining business categories and what constitutes a direct competitor. Absolute exclusivity across all similar or related industries is not guaranteed.
2.2 For purposes of determining exclusivity, the Company retains sole discretion in determining business categories and identifying what constitutes a direct competitor. Businesses that offer overlapping services or operate in related industries may still be permitted at the same location at the Company's discretion.
3. TERM AND DURATION
3.1 The advertising term begins on the date the completed board is delivered and installed at the designated restaurant location ("Installation Date") and continues for a period of twelve (12) months ("Term").
3.2 The Company will make reasonable efforts to notify the Advertiser of the Installation Date but is not required to do so for the Term to commence.
3.3 This Agreement does not automatically renew. Continued advertising beyond the initial Term requires a new purchase and agreement.
4. RENEWAL
4.1 At the end of the twelve (12) month advertising term, advertisers may renew their placement for an additional term at the current renewal rate offered by the Company. The Company may contact advertisers prior to expiration with renewal instructions. If an advertiser does not renew prior to expiration, the Company reserves the right to offer the advertisement placement to another business.
5. PAYMENT AND PRICING
5.1 Payment is due in full at the time of purchase and is processed through our third-party payment provider (Stripe). The Company does not store or directly handle credit card information.
5.2 Current pricing at the time of this Agreement:
- Single Board Placement: $397 (one-time)
- Dual-Board Bundle: $697 (one-time, placement on two boards at two different restaurant locations)
5.3 Pricing is subject to change at the Company's discretion. The price paid at the time of purchase will be honored for that transaction.
5.4 All payments are in U.S. dollars.
6. REFUND POLICY
6.1 Before Production: If you request cancellation before your ad has entered the design or production phase, you may be eligible for a full refund minus any applicable processing fees. Requests must be submitted in writing to the Company.
6.2 After Production Begins: Once the board design has been finalized and/or production has begun, no refunds will be issued. Due to the nature of UV printing, advertisements are permanently applied to the board and cannot be removed, replaced, or altered after production.
6.3 Restaurant Circumstances: If a participating restaurant permanently closes, ceases operations, or otherwise becomes unable to display the board during the Term, the Company will make commercially reasonable efforts to relocate the board to a comparable restaurant location. However, relocation is not guaranteed, and no refund will be issued if relocation is not possible.
6.4 Payment Finality: All advertising payments are final once production of the Daily Specials Board has begun. Because advertisement placements are permanently printed and installed, payments are non-refundable after final proof approval and production initiation.
7. ADVERTISER MATERIALS AND RESPONSIBILITIES
7.1 Following purchase, the Advertiser is required to submit the following materials through the Company's online submission form:
- Business name
- Contact name, phone number, and email address
- Business website URL
- High-resolution logo file (PNG, SVG, or AI format preferred)
- Brand colors (hex codes preferred)
- QR code destination URL (or request that the Company generate one)
- A short business description (25 words or fewer recommended)
7.2 The Advertiser is solely responsible for ensuring that all submitted materials are accurate, current, and do not infringe upon any third-party intellectual property rights.
7.3 Materials must be submitted within fourteen (14) calendar days of purchase. If materials are not received within thirty (30) days, the Company reserves the right to proceed with production using available information or to cancel the placement without refund.
7.4 The Advertiser must provide materials of sufficient quality for professional reproduction. The Company is not responsible for poor print quality resulting from low-resolution logos or images submitted by the Advertiser.
7.5 Advertisers are responsible for ensuring that all logos, trademarks, images, promotional claims, and other materials submitted for their advertisement are accurate and that they possess the legal right to use such materials. The Company is not responsible for verifying ownership of submitted content.
8. AD DESIGN AND APPROVAL
8.1 The Company will design the Advertiser's ad placement using the submitted materials. The ad will occupy one (1) of six (6) designated advertising spots on the board.
8.2 The Company will provide one (1) digital proof of the ad design for the Advertiser's review and approval prior to production.
8.3 The Advertiser will have seven (7) calendar days from receipt of the proof to request revisions or approve the design. Up to two (2) rounds of minor revisions are included at no additional charge.
8.4 If no response is received from the Advertiser within fourteen (14) calendar days of the proof being sent, the design will be deemed approved, and the Company may proceed with production.
8.5 Minor revisions include adjustments to text, color, or layout within the allocated ad space. Requests requiring a complete redesign or fundamentally different creative direction may incur additional fees at the Company's discretion.
9. ADVERTISEMENT PROOF APPROVAL
9.1 Before production, the Company will provide the advertiser with a digital proof of the advertisement layout. The advertiser is responsible for reviewing and approving the proof for accuracy, including spelling, contact information, website links, QR code destinations, and other business details. Once the advertiser approves the proof, the advertisement will proceed to production. The Company is not responsible for errors discovered after proof approval.
10. PRODUCTION AND PERMANENT NATURE OF ADVERTISEMENT
10.1 Advertisements are produced using UV printing technology on aluminum composite material. Once printed, advertisements are permanent and cannot be modified, updated, replaced, or removed from the board.
10.2 The Advertiser acknowledges and accepts that:
- No changes can be made to the advertisement after production, including but not limited to business name, logo, contact information, QR code destination, or any other element.
- If the Advertiser's business information changes during the Term (e.g., new phone number, new website, rebranding), the printed advertisement will remain as originally produced.
- The QR code destination URL can be updated by the Advertiser independently through their own URL redirect or link management service, but the physical QR code printed on the board cannot be changed.
10.3 For this reason, the Advertiser should carefully review and approve all materials and proofs before production begins.
11. INSTALLATION AND PRODUCTION TIMELINE
11.1 The Company will make commercially reasonable efforts to produce and install Daily Specials Boards within approximately 30 to 60 days after receiving all required advertiser materials and final proof approval. Production timelines may vary depending on printing schedules, installation logistics, and restaurant coordination.
12. BOARD PLACEMENT AND DISPLAY
12.1 The Company will place the completed board at a participating restaurant location within the Kansas City metropolitan area. The specific restaurant will be identified to the Advertiser prior to or at the time of purchase when possible.
12.2 The board is the physical property of Invisyn and remains so for the duration of the Term and beyond.
12.3 While the Company partners with each restaurant and requests that the board remain prominently displayed for the full twelve (12) month Term, the Company does not own or control the restaurant premises and cannot guarantee:
- Continuous, uninterrupted display of the board
- Specific placement location within the restaurant
- That the restaurant will remain in operation for the full Term
- That the restaurant will not temporarily remove, relocate, or obscure the board
12.4 The Company will make commercially reasonable efforts to ensure the board remains displayed as intended and will address any display issues that come to its attention. However, temporary disruptions in display do not constitute a breach of this Agreement and do not entitle the Advertiser to a refund or credit.
12.5 While the Company works with participating restaurants to place boards in high-visibility areas such as entrances, waiting areas, or host stands, the Company does not control restaurant operations and cannot guarantee the exact placement, visibility, or uninterrupted display of the board at all times.
13. ADVERTISEMENT REMOVAL OR RESTAURANT CLOSURE
13.1 If a Daily Specials Board must be removed, replaced, or relocated due to restaurant closure, remodeling, ownership change, or operational decisions made by the restaurant, the Company will make commercially reasonable efforts to relocate the advertisement placement to another participating location if available, but such relocation is not guaranteed.
14. BOARD MAINTENANCE
14.1 The Company may periodically repair, replace, or update Daily Specials Boards as part of normal maintenance. In the event a board is damaged, lost, or replaced, the Company will make commercially reasonable efforts to reproduce the existing advertisement placements, though exact placement or layout replication is not guaranteed.
15. QR CODE AND EXTERNAL LINK DISCLAIMER
15.1 Advertisements may include QR codes that link to advertiser-provided websites or landing pages. The Company is not responsible for the availability, performance, security, or content of external websites linked through QR codes.
16. CONTENT GUIDELINES
16.1 The Company reserves the right to reject or require modification of any advertisement that, in its sole discretion:
- Contains false, misleading, or deceptive claims
- Promotes illegal products, services, or activities
- Contains obscene, offensive, or inappropriate content
- Disparages other businesses, individuals, or competitors
- Violates any applicable federal, state, or local law or regulation
- Is not suitable for display in a family-friendly restaurant environment
- Infringes upon any third-party trademark, copyright, or other intellectual property right
16.2 If submitted materials are rejected under this section, the Company will notify the Advertiser and provide an opportunity to submit revised materials. If acceptable materials are not provided within a reasonable timeframe, the Company may cancel the placement and issue a refund at its discretion.
17. INTELLECTUAL PROPERTY
17.1 The Advertiser retains all ownership rights to their submitted logos, trademarks, and branded materials.
17.2 By submitting materials, the Advertiser grants the Company a limited, non-exclusive, royalty-free license to use, reproduce, and display the Advertiser's name, logo, and submitted materials for the purposes of:
- Producing and displaying the Daily Specials Board
- Marketing and promoting the Daily Specials Board program (e.g., photos of completed boards on the Company's website, social media, or marketing materials)
17.3 This license terminates upon expiration of the Term, except that the Company may continue to use photographs of completed boards for portfolio and marketing purposes.
17.4 The ad layout, board design, and overall creative composition of the Daily Specials Board are the intellectual property of Invisyn.
17.5 Unless otherwise agreed in writing, the advertisement layout, design, formatting, and creative elements produced by the Company remain the intellectual property of Invisyn. Advertisers may not reproduce, modify, or redistribute the advertisement design created by the Company without written permission.
18. REPRESENTATIONS AND WARRANTIES
18.1 The Advertiser represents and warrants that:
- They have the legal authority to enter into this Agreement
- They are the rightful owner or authorized licensee of all submitted materials, including logos and trademarks
- All information and claims contained in the advertisement are truthful and accurate
- The advertisement does not infringe upon the intellectual property rights of any third party
- Their business operates in compliance with all applicable laws and regulations
19. INDEMNIFICATION
19.1 The Advertiser agrees to indemnify, defend, and hold harmless Invisyn, Invisyn Solutions LLC, its owners, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- The Advertiser's submitted materials or advertisement content
- Any breach of the Advertiser's representations and warranties under this Agreement
- Any claim that the Advertiser's materials infringe upon the intellectual property rights of a third party
- The Advertiser's business operations, products, or services
20. LIMITATION OF LIABILITY
20.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY TO THE ADVERTISER UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE ADVERTISER FOR THE APPLICABLE AD PLACEMENT.
20.2 IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, BUSINESS, OR ANTICIPATED SAVINGS, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER THE COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
20.3 The Company makes no guarantees regarding the number of impressions, views, leads, customers, or any other measurable result from the advertising placement. The advertisement is a visibility and brand awareness product, and results will vary.
20.4 To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to this Agreement, including but not limited to lost profits, lost business opportunities, or loss of anticipated advertising benefits.
21. TERMINATION
21.1 The Company may terminate this Agreement immediately if the Advertiser breaches any term of this Agreement, including but not limited to providing fraudulent materials or misrepresenting their business.
21.2 The Advertiser may not terminate this Agreement after production has begun. See Section 6 (Refund Policy) for cancellation terms.
21.3 Upon termination by the Company due to Advertiser breach, no refund will be issued.
22. FORCE MAJEURE
22.1 The Company shall not be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure results from events beyond the Company's reasonable control, including but not limited to acts of God, natural disasters, fire, flood, supply chain disruptions, labor disputes, government actions, or other unforeseen circumstances.
23. GOVERNING LAW AND DISPUTE RESOLUTION
23.1 This Agreement shall be governed and interpreted in accordance with the laws of the State of Missouri.
23.2 Any dispute arising out of or relating to this Agreement shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of competent jurisdiction in Jackson County, Missouri.
24. GENERAL PROVISIONS
24.1 Entire Agreement. This Agreement constitutes the entire understanding between the parties regarding the subject matter described herein and supersedes any prior discussions, representations, or agreements, whether written or oral.
24.2 Modifications. This Agreement may only be modified or amended by a written document signed or acknowledged by both parties.
24.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
24.4 Assignment. The Company may assign or transfer this Agreement to a successor entity or affiliated company. Advertisers may not assign their rights under this Agreement without prior written consent from the Company.
24.5 Waiver. The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
24.6 Notices. Any notices under this Agreement shall be sent to the email address provided by the Advertiser at the time of purchase, or to the Company at the email address listed on its website.
24.7 Independent Parties. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between the parties.
